1. Confidentiality Commitment
Thinka SpA (Stack Digital) acknowledges that, in the course of its consulting and development services, it may gain access to sensitive, strategic, technical, or commercial information belonging to its clients. We formally undertake to maintain the strictest professional confidentiality with respect to all confidential information to which we gain access.
2. Definition of Confidential Information
Confidential Information includes any data, knowledge, document, software, business strategy, client list, or trade secret provided or communicated by the Client to Stack Digital, whether orally, in writing, or electronically.
3. Stack Digital Obligations
Stack Digital agrees to:
- Use confidential information exclusively for the purposes of the contracted service.
- Not reveal, disclose, or communicate such information to third parties without prior written consent.
- Limit access to confidential information only to employees or collaborators whose participation is strictly necessary.
- Implement technical and physical safeguards to prevent loss of or unauthorized access to confidential information.
- Return or destroy confidential information upon termination of the contractual relationship, if requested by the Client.
4. Exceptions
The confidentiality obligation does not apply to information that:
- Was already publicly available at the time of disclosure.
- Was lawfully obtained from a third party without confidentiality restrictions.
- Must be disclosed by order of a competent judicial or administrative authority, in which case Stack Digital will notify the Client as soon as reasonably possible.
5. Term
The confidentiality obligations established in this agreement remain in force indefinitely, even after the end of the commercial or contractual relationship between the parties, unless otherwise agreed in writing.
6. Specific Agreements
For highly sensitive projects or specific compliance requirements, Stack Digital is available to sign tailored NDAs provided by the Client or drafted specifically for the engagement.
